Terms of Service

1. About these terms
These Terms of Service ("Terms") govern your access to and use of TokenGate (the "Service"), operated by TokenGate Operator Ltd. ("we", "us"). By using the Service, whether as a subscribing group owner or as an end user joining a gated Telegram group, you agree to these Terms.
If you do not agree to any part of these Terms, do not use the Service.
2. The Service in plain English
TokenGate is a Telegram bot and dashboard that lets group owners gate Telegram chat membership on cryptocurrency holdings, NFT ownership, liquidity-pool positions, or paid membership. We provide the gating logic; group owners configure the rules; members verify wallets and pay fees directly to the group owner via on-chain smart contracts.
We do not custody member funds. Member-to-group payments settle on-chain directly to the group owner's wallet, with an optional small platform fee forwarded to a fee collector address controlled by us.
3. Subscriptions
Group owners pay a recurring (monthly / quarterly / yearly) or one-time fee for access to the Service. Pricing is shown on the Pricing page and may change with notice. All fees are paid in cryptocurrency to the GatingHub smart contract.
No refunds. Crypto payments are non-reversible by nature. If a charge was clearly in error, contact support and we will work with you in good faith.
Trials. A free trial may be offered to first- time subscribers. A trial converts to no obligation; if you do not subscribe, your access ends when the trial expires.
4. Acceptable use
You agree not to use the Service to:
- Violate any law of your jurisdiction or ours
- Operate gambling, securities, or other regulated activities without proper licensing
- Distribute child sexual abuse material, terrorism content, or other content prohibited by Telegram's Terms of Service
- Sanctions-evade or run a group whose membership is predominantly OFAC-sanctioned persons
- Reverse-engineer, scrape, or denial-of-service the platform
- Resell or sublicense the Service to third parties without a written arrangement (Whale Council tier excepted within its stated scope)
We reserve the right to suspend or terminate access for violations.
5. End-user gating + on-chain identity
When a Telegram user joins a TokenGate-managed group, our bot requests they prove control of a cryptocurrency wallet by signing a SIWE-style message that binds their Telegram identifier to the wallet address. The signed message is stored on our servers as evidence of binding.
We periodically re-check on-chain holdings against the group owner's configured rules. Members who fail are removed from the group automatically. Members may rejoin once they qualify again. By using a TokenGate-managed group, end users consent to this gating behavior.
6. Smart contracts + chain risk
The Service relies on smart contracts deployed to public blockchains (the GatingHub and MembershipHub contracts). Smart contracts can fail, be exploited, or behave unexpectedly. We make no warranty that the contracts are bug-free or that blockchain networks will always be available.
You acknowledge that cryptocurrency volatility, network congestion, or chain reorganizations may cause gating checks to behave unexpectedly. We log every kick reason; if you believe a kick was in error, see the dispute process in §11.
7. Intellectual property
We own the TokenGate name, logo, dashboard, bot, and backend source code. Group owners retain ownership of any custom content (group name, rules, branding) they configure.
Smart contract source is open-source under the license indicated in the public repository.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No warranty is made that the Service will be uninterrupted, error-free, or free of harmful components. Cryptocurrency price feeds are sourced from public on-chain data and may be inaccurate or manipulable.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of these Terms or your use of the Service is limited to the greater of (a) the total fees you paid us in the 12 months preceding the claim or (b) USD $100.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost group membership revenue, or loss of cryptocurrency holdings.
10. Termination
You may stop using the Service at any time by canceling your subscription via the dashboard or letting it lapse. We may suspend or terminate your access for material breach of these Terms or applicable law, with or without notice.
Termination does not refund pre-paid fees, except where required by law.
11. Disputes + governing law
These Terms are governed by the laws of Norway, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved in the courts of Oslo, Norway, unless mandatory consumer-protection laws of your country require a different forum.

12. Changes to these terms
We may update these Terms periodically. Material changes will be announced via the dashboard or by email at least 14 days before they take effect. Continued use of the Service after an update means you accept the new Terms.
